Terms of Use — United Kingdom and European Union
Última actualización 2026-10-27
These Terms of Use apply to companies established outside the United States — in particular in the United Kingdom and in the European Union (Romania included). They govern access to the Nucra platform supplied to you by SAMJAKE LOGISTICS LTD ("we"), a company registered in England and Wales under number 15603172, registered office 3rd Floor, 45 Albemarle Street, Mayfair, London W1S 4JL, United Kingdom. Paid plans are also governed by the section “Plans, billing and cancellation” below and, where one has been signed, a separate written agreement. By creating an account, subscribing or using the platform you agree to these terms on behalf of the business you represent and confirm you are authorised to do so. Changes of 21 October 2026: these terms, which covered companies in the United Kingdom and Romania, now cover every company outside the United States. The new paid plans S, M and L are measured only in trips a month: you pay for trips, everything else is unlimited, and no company on S, M or L is ever blocked for going over. A new company may now get a 30-day trial, and the free plan is no longer offered to new companies. Prepaid terms of 3, 6 and 12 months follow the rules below.
What Nucra is
Nucra is a B2B software platform for organizing, recording and exchanging information related to transport and logistics processes. Nucra is not a carrier, freight forwarder, freight broker, payment institution, insurer, guarantor or party to the transport and commercial contracts between Users.
What Nucra does not do
Nucra provides technical infrastructure and software tools only. Unless expressly agreed otherwise in a separate written agreement, Nucra: • does not negotiate transport services on behalf of Users; • does not determine prices, routes or transaction terms; • does not receive or process payments between Users; • does not collect debts on behalf of Users; • does not guarantee payment of invoices; • does not guarantee performance of any transport or commercial service; • does not physically inspect cargo, vehicles, documents or performance; • is not a party to contracts created, recorded or managed through the Platform; • is not responsible for the acts, omissions, solvency or legal compliance of other Users.
Accounts and access
Nucra is for businesses and their authorised staff, not for consumers. You may register on your own; we confirm the e-mail address before an account is activated and may verify the company you register (for example its Companies House or trade-register number, or its VAT number). You must give accurate, current information and keep it up to date, and you may only register a company you are authorised to represent — registering or acting in the name of another company, or impersonating anyone, is prohibited. We may refuse a registration or require additional verification at our discretion. You are responsible for keeping credentials confidential and for all activity under your account.
Plans, billing and cancellation
• Plans. The paid plans S, M and L have the same features. They differ only in how many trips a company can run in a calendar month: S up to 150, M up to 400, L up to 1,000. On S, M and L, office users, vehicles, drivers, companies (legal entities) and counterparties are unlimited. AI reading of orders and invoices is included under fair use: we may apply technical safeguards against abnormal or automated use. For more than 1,000 trips a month, write to support@nucra.io and we will make you an offer. A subscription bought on an earlier plan (such as Operations) keeps that plan, with that plan’s features and limits, until it moves to S, M or L (see “Moving to another plan” and “Founding price”). • Trips. A trip is one truck carrying one load from loading to unloading — one leg in Nucra, whether it is driven by your own truck or by an outside carrier. With transshipment, each truck’s leg is a separate trip. A trip counts in the calendar month in which its leg is created; a leg that is cancelled or deleted does not count. • Going over a plan. On S, M or L a company is never blocked for running more trips than its plan includes, and is never charged extra for it: there is no overage fee and no automatic upgrade. The portal shows how many trips the month has used and, as you approach or pass the limit, suggests the next plan or, on L, that you write to us for an offer; whether to move is your decision. • Trial. A new company may receive a free 14-day trial, without entering a card, with every feature at the size of the S plan — up to 150 trips, 200 AI document reads and live tracking of one truck at a time — except marketing campaigns, which need a paid plan (see “Campaigns”). These trial limits are firm. It is never charged unless it chooses a paid plan. • After the trial. When a trial on the L plan ends and no paid plan has been chosen, the company can still view and export everything in its account, and nothing is deleted; adding new trips and new vehicles needs a paid plan, which it can choose at any time. The free plan is no longer offered to new companies: a company already on it keeps it, with its limits, and a trial that began on an earlier plan (such as the former 14-day trial) still ends on the free plan, as the terms in force when it began said. • Paid plans. A paid plan is paid in advance, at the price shown on the pricing page and at checkout, for a term of 1, 3, 6 or 12 months (the terms available in your country are shown at checkout), in pounds sterling (GBP) in the United Kingdom, in euro (EUR) in the European Union, in Romanian lei (RON) or euro in Romania, and elsewhere in the currency shown at checkout or agreed with us in writing, through our payment provider Stripe (or by invoice where we have agreed so in writing). Every term can be paid by card; SEPA Direct Debit is available only for the monthly plan paid in euro. • Renewal. A subscription renews automatically for the same term at the same price — unless a price change has been notified as described below — until you switch renewal off. By subscribing you authorise us and Stripe to charge your payment method at the start of each term. • Moving to another plan. You can move to a bigger or a smaller plan at any time by writing to support or, where it offers the change, on the secure billing page of our payment provider Stripe, which opens from Settings → Plan & billing. Any difference in price for the rest of the current term is shown or confirmed to you before the change takes effect. • VAT. Prices are shown excluding VAT. For customers in the United Kingdom, UK VAT at the applicable rate (currently 20%) is added at checkout and shown on the VAT invoice you receive for each payment. For business customers in the European Union (Romania included), no UK VAT is charged: the reverse-charge mechanism applies and you account for VAT in your own country, so a valid VAT number is required at checkout. For business customers established outside the United Kingdom and the European Union, no UK VAT is charged either (the supply is outside the scope of UK VAT), and you account for any tax due in your own country. • Cancellation. You can switch renewal off at any time on Stripe’s secure billing page, which opens from Settings → Plan & billing, or by writing to support. A monthly plan then ends at the end of the month already paid; a prepaid term of 3, 6 or 12 months runs to its end and is not renewed. Switching renewal off never shortens a term already paid. You keep full access until the paid period ends. When a paid plan ends nothing is deleted: the company can still export all of its data, and it can choose a plan again at any time. • First prepaid term. If, within 14 days after the payment of your first prepaid term of 3, 6 or 12 months, you ask us to cancel that term (write to support@nucra.io), you pay only for one month at the plan’s monthly price in the same currency, and we refund the rest of that payment to the original payment method within 14 days of your request; the company keeps access until the end of that month, and then its paid plan ends as described under “Cancellation”. Switching renewal off is not such a request. This rule applies once per company, identified by its VAT number or company registration number. • Refunds. Fees are non-refundable — including for partial months, unused time or features, and downgrades — except under the first-prepaid-term rule above, the Nucra Promise below and billing errors we confirm. If you believe you were charged in error (for example a duplicate charge), write to support within 30 days and we will correct any error we confirm. Your rights under the SEPA Direct Debit scheme are not affected. • Failed payments. If a renewal payment fails, Stripe retries it for up to 14 days and we tell you, so you can update your card. If it is still unpaid after that, the subscription ends; as under “Cancellation”, nothing is deleted and the company can still export all of its data. • Without a plan. When the trial or a paid subscription ends and no plan is chosen, the company keeps its account and can see and export all of its data, but it cannot create new trips, invoices or vehicles, read documents with AI or use live tracking until it chooses a plan. • Chargebacks. Please contact us before disputing a charge with your bank. Disputing a valid charge is a breach of these terms: we may suspend the account until the dispute is resolved and recover the amount together with any dispute fees. A refund you are entitled to under the SEPA Direct Debit scheme is not a breach; the amount is then unpaid and “Failed payments” applies. • Founding price. A company whose paid subscription starts before 31 March 2027 keeps its price for as long as that subscription runs. The price-change rule below does not apply to it. • Price changes. For every other subscription we may change prices at most once in any 12 months, with at least 60 days’ notice by e-mail. The new price applies from the first payment due after the notice period; if you do not accept it, you can switch renewal off before then. • The Nucra Promise. If we ever stop providing the Nucra platform, we will tell you at least 90 days in advance, you can export all of your company’s data during that time, and unused prepaid months are refunded pro rata. • Referrals. A company on a paid plan may invite other companies with its personal referral link. When a company that signed up through that link has paid for at least three months of a paid plan (one prepaid term, or monthly payments added up), the inviting company earns one month of its own plan at the price it pays, excluding VAT, as a bank transfer or as a free month, at its choice. The reward becomes final 30 days after the payment that completes the three months, and only if none of the counted payments has been refunded or disputed; a refund or reversal after that is deducted from later amounts. There is one reward per referred company; the referral recorded at signup counts. Rewards cannot be transferred or exchanged. We may refuse or cancel a reward obtained through self-referral, related or duplicate companies or other abuse, and we may change or end the programme for future referrals at any time.
Support, moving in and campaigns
• Support. Every company on a paid plan can reach a person: we reply within 1 working day, Monday to Friday 9:00–18:00 Sofia time, except Bulgarian public holidays and up to 2 weeks a year that we announce in advance. Write to support@nucra.io. • “We move you in together”. A prepaid term of 3, 6 or 12 months includes a 45-minute video call to help move your company onto Nucra. We hold at most 3 such calls a week, booked in the order in which payments settle. • Campaigns. Marketing e-mails to your own counterparties who have not unsubscribed can be sent on a paid plan only — not during a trial — to at most 200 recipients per company per day (a day runs from midnight to midnight Sofia time), and a campaign’s button may link only to a full https:// web address. They must comply with the Acceptable Use Policy and with the marketing and data-protection law that applies to you.
Payments and commercial relationships
All prices, invoices, due dates, payment statuses and accounting records in the platform have an informational and organisational function only. Marking an invoice as "paid", "due" or "overdue" is not a confirmation by Nucra that a payment was actually made, correctly accounted for, or legally owed. Each User independently verifies the identity, capacity, licences, insurance, creditworthiness and bank details of its counterparties before entering into a transaction or making a payment.
User data and responsibility
Users are responsible for the accuracy, completeness, timeliness and lawfulness of the information they enter or provide through the platform, including data about cargo, addresses, prices, vehicles, drivers, documents, bank accounts and contacts. Nucra does not guarantee that: • a company is solvent; • a licence is valid; • cargo is described correctly; • a vehicle actually has the stated characteristics; • the person behind an account has authority to represent it; • an uploaded document is authentic. Where Nucra verifies or marks certain information (for example checking a company ID), that verification or marking is not a general guarantee of the reliability, solvency, licensing or performance of the relevant User.
Location, ETA and automatic statuses
GPS positions, ETAs, geofences, automatic statuses, routes and notifications are technical calculations based on the data available. They may be inaccurate, delayed or incomplete and are not proof of loading, unloading, delivery, meeting a deadline, or the physical condition of cargo. The User remains responsible for operationally verifying critical information and must not rely solely on the platform’s automatic calculations or notifications.
Documents and electronic actions
The platform lets Users upload, store and send documents. Three things are distinct: • Storage — Nucra makes upload and exchange of documents possible. • Authenticity — Nucra does not guarantee that an uploaded document is genuine, signed by an authorised person, or sufficient for a particular legal purpose. • Archive — the User must keep its own copy of essential documents, unless the specific subscription expressly includes a contractually guaranteed archive with a defined retention period.
Acceptable use
Your use of the platform must comply with our Acceptable Use Policy, which forms part of these terms.
Suspension and termination
We may suspend or terminate an account — immediately where necessary — if: • it was registered with false information or in the name of another company, or is used to impersonate anyone; • it is used for fraud, spam, scraping, attempts to break, probe or overload the platform, or any unlawful purpose; • it breaches these terms or the Acceptable Use Policy; • fees are unpaid, or a valid charge is disputed with the bank; • we are required to by law or a competent authority, or it is necessary to protect the platform, other Users or third parties. Where practical and lawful we will tell you the reason and give you a chance to fix the problem. You may close your account at any time. You can export your data at any time while the account is active; after closure we keep it for a limited period and then delete or anonymise it as described in the Privacy Notice. Provisions that by their nature should survive termination — including fees owed, the disclaimer, liability limits, indemnities and dispute resolution — continue to apply.
Intellectual property
The platform, the website and all related software, design and trademarks are and remain owned by Nucra or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription. You retain all rights in the data you enter; we process it under our Privacy Notice and, for customers, the Data Processing Agreement.
Disclaimer of warranties
The platform, its data and all information from third-party sources (including Companies House, VIES, maps, routing and toll data) are provided “as is” and “as available”. To the maximum extent permitted by law, all warranties, conditions and other terms implied by statute or common law — including as to satisfactory quality, fitness for a particular purpose and accuracy — are excluded, and we do not warrant that the platform will be uninterrupted, error-free or secure against every threat. Company, licence and VAT checks are aids based on public registers that may be incomplete or out of date; they are not a guarantee that a company is genuine, solvent or trustworthy.
Limitation of liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under the law of England and Wales. Subject to that, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, goodwill, anticipated savings or data, for business interruption, or for any indirect or consequential loss, or for losses arising from relationships between Users. Our total aggregate liability for all claims relating to the platform or these terms is limited to the greater of (a) the fees you actually paid for the platform in the twelve months before the event giving rise to the claim and (b) £100.
Indemnification by the User
The User indemnifies Nucra against well-founded claims, penalties, damages and reasonable costs arising from: • unlawful content or personal data uploaded by the User; • a missing required licence, permit or insurance; • infringement of third-party rights; • fraudulent or misleading information; • unauthorised use of another party’s account; • breach of applicable transport, customs, tax or labour law; • a contract or dispute between the User and another User. This obligation covers matters caused by the User and not Nucra’s own breaches.
Availability and changes
We work to keep the service available and secure but do not guarantee uninterrupted operation; any specific availability commitment would be set out in a separate Service Level Agreement. We may modify features and update these terms, giving reasonable notice of material changes; continued use after a material change may require renewed acceptance.
Governing law and disputes
These terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter are governed by the law of England and Wales. • Informal resolution first. Before starting any claim, a party must send the other a written notice describing it (to us at support@nucra.io), and both will try in good faith to resolve it within 30 days. • Courts. The courts of England and Wales have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court to protect its intellectual property, confidential information or the security of the platform. • Time limit. To the extent the law allows, any claim must be started within one year after it arose, or it is permanently barred. Nothing in this section overrides mandatory rules of the country where you are established that cannot be waived by contract.
General
• Entire agreement. These terms, the Privacy Notice, the Acceptable Use Policy, the Data Processing Agreement and any written agreement we sign with you form the entire agreement on their subject. If a signed written agreement conflicts with these terms, the signed agreement prevails. • Severability and waiver. If a provision is found unenforceable, it applies to the maximum extent permitted and the rest remains in force. Not enforcing a provision is not a waiver of it. • Assignment. You may not transfer your account or these terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate. • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages of hosting, payment or telecom providers, attacks, natural events or acts of authorities. • Notices. We may send notices to the e-mail address of your account or company and publish them in the platform. Notices to us go to support@nucra.io. • Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
Personal data
Personal data is handled as described in our Privacy Notice and, for customer data you put into the platform, our Data Processing Agreement. For customers under these terms, SAMJAKE LOGISTICS LTD is the controller of account and billing data, and your rights under the UK GDPR and the Data Protection Act 2018 — and, for customers in the European Union, the EU GDPR — apply.
